iQh Internet – Terms and Conditions

Welcome to iQh Internet.
These Terms and Conditions (“Terms”) govern the provision of all website design, development, hosting, and related services by IQH Internet, a company registered in the United Kingdom (“IQH Internet”, “we”, “our”, or “us”), to the Client (“you”, “your”).
By accepting any Website Building or Hosting Proposal from iQh Internet and by paying the deposit or full invoice, the Client agrees to be legally bound by these Terms and Conditions.
1. Acceptance of Terms
1.1 By proceeding with payment of the deposit or full invoice, the Client confirms that they have read, understood, and accepted these Terms in full.
1.2 Acceptance of these Terms forms a legally binding contract between IQH Internet and the Client, superseding any prior discussions or informal agreements.
1.3 The Client acknowledges that these Terms apply to all services provided by IQH Internet, including website development, website hosting, domain registration, and email hosting or management.
2. Project Commencement and Approval
2.1 Work will commence upon receipt of the agreed deposit or full payment.
2.2 The Client will be provided access to preview, explore, and test the full functionality of the website prior to launch.
2.3 By giving permission for the website to go live (in writing, verbally, or via email), the Client acknowledges and confirms that:
They have reviewed and approved all aspects of the website;
The website functions as expected; and
All content is correct, complete, and ready for public access.
3. Website Functionality and Testing
3.1 iQh Internet will make all reasonable efforts to ensure the website performs as intended across major browsers and devices at the time of launch.
3.2 The Client must test all functionality and report any issues before giving permission to go live.
3.3 Any changes, corrections, or revisions requested after the website has gone live may be subject to additional fees.
3.4 iQh Internet cannot guarantee compatibility with future browser versions, device updates, or third-party plugins unless covered under an ongoing maintenance agreement.
4. Hosting and Service Availability
4.1 iQh Internet provides website and email hosting services using reputable third-party infrastructure providers.
4.2 While every effort is made to ensure consistent uptime, occasional interruptions, maintenance periods, or service outages may occur.
4.3 iQh Internet will act promptly to restore service in the event of downtime. However, IQH Internet does not guarantee uninterrupted operation or access.
4.4 The Client accepts that IQH Internet shall not be held responsible for loss of earnings, revenue, or data caused by hosting interruptions, server issues, or software failures.
5. Limitation of Liability
5.1 iQh Internet, including all employees, contractors, partners, and third parties associated with website development, website hosting, or email hosting and management, shall not be held financially or legally liable for any of the following:
Loss of earnings, business opportunities, revenue, or reputation arising from website errors, functionality failures, or downtime;
Loss of data, corruption of files, or security breaches caused by third-party software, server failures, or Client or user misuse;
Any indirect, consequential, or incidental damages resulting from the use or inability to use the website or related services.
5.2 The Client agrees to indemnify IQH Internet against any claims, damages, or legal expenses arising from misuse of the website, infringement of intellectual property rights, or breach of these Terms.
6. Client Responsibilities
6.1 The Client agrees to provide all necessary materials (including text, images, and credentials) in a timely manner.
6.2 The Client is responsible for verifying the accuracy and legality of all content supplied.
6.3 The Client shall maintain backups of all materials unless IQH Internet is contracted to manage backup services.
6.4 The Client must not use hosting services for illegal, abusive, or fraudulent purposes, including but not limited to:
Distribution of malware or spam;
Copyright or trademark infringement;
Hosting of unlawful or offensive material.
7. Payments and Deposits
7.1 All work requires a deposit payment as stated in the Proposal before commencement.
7.2 The final balance is due upon completion and before the website is made live, unless otherwise agreed in writing.
7.3 Invoices must be paid within the terms specified. Late payments may result in suspension of services, including hosting and email accounts.
7.4 Deposits are non-refundable once work has begun.
8. Termination of Services
8.1 Either party may terminate the agreement by written notice.
8.2 In the event of termination by the Client before completion, the Client will remain liable for payment of work completed to date.
8.3 iQh Internet reserves the right to suspend or terminate services immediately for breach of these Terms, non-payment, or abusive behaviour.
8.4 Upon termination, all access to hosting, email, and related services may be revoked.
9. Intellectual Property Rights
9.1 Upon full payment, ownership of the website design, layout, and code (excluding third-party components, frameworks, or licensed software) transfers to the Client.
9.2 iQh Internet retains ownership of proprietary tools, scripts, and processes used in development unless otherwise agreed.
9.3 iQh Internet reserves the right to display completed projects in its portfolio, marketing materials, and case studies unless the Client requests otherwise in writing.
10. Privacy, Data Protection, and GDPR Compliance
10.1 iQh Internet is committed to protecting the privacy and personal data of its Clients and their users in accordance with the UK Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR).
10.2 Any personal data collected (including names, email addresses, and contact information) will be used solely for the purpose of providing and maintaining agreed services.
10.3 iQh Internet does not sell, rent, or share personal data with third parties, except where required by law or to fulfil a service (e.g., domain registration, hosting).
10.4 The Client, as the data controller of their website, is responsible for ensuring that any data collected via the website complies with UK GDPR. This includes:
Displaying a clear and accurate Privacy Policy on their website;
Obtaining consent for cookies and tracking technologies;
Responding to user data requests and maintaining lawful data practices.
10.5 iQh Internet acts as a data processor when managing hosting, email, or website data on behalf of the Client. In such cases, IQH Internet agrees to:
Implement reasonable technical and organisational measures to protect personal data;
Notify the Client promptly of any data breach;
Assist the Client in meeting their GDPR obligations when appropriate.
11. Confidentiality
11.1 Both parties agree to keep confidential all proprietary or sensitive information disclosed during the course of the project.
11.2 This obligation continues after the completion or termination of services.
12. Governing Law
12.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
12.2 Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Acceptance
By accepting the Website Building or Hosting Proposal and by paying the deposit or full invoice, the Client confirms their full acceptance of these Terms and Conditions.
This acceptance constitutes a legally binding agreement between the Client and iQh Internet.
